The terms “we”, “us” and “our” refer to Averixa Supply. Averixa Supply operates this website and provides product sourcing, wholesale supply, quotation, OEM/ODM, custom packaging and related business services.
Our website is powered by Shopify, which enables us to provide the website and related online services.
These Terms of Service (“Terms”) govern your access to and use of our website, submission of quotation requests, communications with us, and any purchases or business transactions resulting from such communications.
By accessing or using our website, submitting a Request a Quote form, requesting samples, accepting a quotation, or placing an order with Averixa Supply, you agree to these Terms and our Privacy Policy.
If you do not agree with these Terms, please do not use our Services.
SECTION 1 — BUSINESS USE AND ELIGIBILITY
Our Services are intended for lawful personal and business use, including use by retailers, wholesalers, distributors, importers, e-commerce sellers and other commercial buyers.
You represent that any information you provide to us is accurate, current and complete.
If you are submitting an inquiry or placing an order on behalf of a company or other organization, you represent that you have authority to act on behalf of that organization.
You are responsible for maintaining the confidentiality of any account credentials associated with our Services.
SECTION 2 — PRODUCTS AND PRODUCT INFORMATION
Averixa Supply offers and sources household, cleaning, kitchen, storage and other consumer products.
We make reasonable efforts to provide accurate product descriptions, photographs, specifications, materials, dimensions and other information. However, product colors, packaging, appearance and minor specifications may vary due to manufacturing processes, customization, production batches, photography, display settings or supplier updates.
Product descriptions, specifications, packaging options and availability may change without prior notice.
Unless specifically guaranteed in writing, images shown on our website are for reference purposes only.
Final product specifications should be confirmed in the applicable quotation, sample approval, purchase order, pro forma invoice or other written order confirmation.
SECTION 3 — REQUESTS FOR QUOTATION
Submitting a “Request a Quote” form, sending us an email or otherwise requesting pricing does not create a binding purchase agreement.
Quotation pricing may depend on factors including:
product specifications, quantity, MOQ, materials, color, customization, packaging, logo requirements, production requirements, shipping method and destination.
Unless otherwise stated, quotations are valid only for the period specified in the quotation.
We may revise or withdraw a quotation before an order is formally accepted if costs, availability, exchange rates, shipping costs, raw material prices or other relevant circumstances change.
SECTION 4 — ORDERS AND ORDER ACCEPTANCE
A purchase order or request submitted by a buyer is an offer to purchase and is subject to acceptance by Averixa Supply.
An order becomes binding only after Averixa Supply provides written acceptance, an order confirmation, a pro forma invoice, or another written confirmation and any required deposit or payment has been received.
We reserve the right to reject or cancel an order where reasonably necessary, including because of product unavailability, pricing errors, supplier issues, payment concerns, regulatory restrictions or circumstances outside our reasonable control.
Products purchased from Averixa Supply may be purchased for commercial resale, distribution, import, export or other lawful business purposes.
The buyer is responsible for ensuring that products comply with laws, labeling requirements, certifications and other regulatory requirements applicable in the buyer’s destination market unless we expressly agree otherwise in writing.
SECTION 5 — MINIMUM ORDER QUANTITY
Some products may have a Minimum Order Quantity (“MOQ”).
MOQ may vary according to product, material, color, packaging, customization, logo printing or supplier requirements.
Any MOQ stated on the website is for general reference unless confirmed in writing.
Final MOQ requirements will be stated in the applicable quotation or order confirmation.
SECTION 6 — OEM, ODM AND CUSTOM PACKAGING
Where available, Averixa Supply may offer OEM, ODM, private labeling, custom logo, custom color, custom specifications and custom packaging services.
Customization is subject to technical feasibility, MOQ, additional charges and production requirements.
The buyer is responsible for ensuring that any trademarks, logos, artwork, packaging, text or intellectual property supplied to Averixa Supply may legally be used.
By providing such materials, the buyer represents that it owns or has permission to use them.
The buyer agrees to indemnify Averixa Supply against third-party claims arising from materials, trademarks, logos or designs supplied by the buyer.
SECTION 7 — SAMPLES
Samples may be available for certain products.
Sample costs, customization costs and shipping charges may apply.
Samples are intended to help buyers review product quality, materials, dimensions, appearance or packaging before bulk production.
Because manufacturing processes may involve reasonable production tolerances, bulk products may have minor variations from approved samples unless otherwise expressly agreed in writing.
SECTION 8 — PRICING
Unless expressly stated otherwise, prices displayed on our website are for reference only and do not constitute a binding offer.
Final wholesale pricing will be provided through a written quotation, pro forma invoice or order confirmation.
Pricing may depend on quantity, customization, packaging, materials, shipping terms and destination.
Unless otherwise stated, quotations do not include import duties, customs fees, taxes, tariffs, brokerage fees or other charges imposed by the destination country.
The buyer is responsible for such charges unless otherwise agreed in writing.
SECTION 9 — PAYMENT
Payment terms will be stated in the applicable quotation, pro forma invoice or order confirmation.
Depending on the order, we may require a deposit before production and the remaining balance before shipment or according to other agreed payment terms.
Production may not begin until required deposits or payments are received.
Orders may be delayed if payment is delayed.
Any bank charges, transfer fees, currency conversion fees or intermediary bank charges are the responsibility of the buyer unless otherwise agreed.
SECTION 10 — PRODUCTION AND LEAD TIMES
Production lead times are estimates unless expressly guaranteed in writing.
Production may begin only after applicable requirements have been completed, including payment of any required deposit and approval of product specifications, packaging, artwork or samples.
Production timelines may be affected by order quantity, customization, factory schedules, holidays, raw material availability and other circumstances.
We will make reasonable efforts to communicate material delays.
SECTION 11 — INSPECTION AND QUALITY
Where applicable, product inspection may be conducted during or before shipment.
Any inspection services provided by Averixa Supply are intended to assist with quality control but do not eliminate the buyer’s responsibility to confirm that products meet the buyer’s requirements.
Buyers should notify us promptly of any material product quality issue and provide photographs, videos, inspection reports or other reasonable supporting evidence.
SECTION 12 — SHIPPING AND DELIVERY
Shipping options may include sea freight, air freight, courier or other methods depending on the order.
Shipping method, freight cost, estimated delivery time and applicable Incoterms, if any, will be stated in the quotation or order confirmation.
Delivery dates are estimates unless expressly guaranteed in writing.
We are not responsible for delays caused by carriers, customs authorities, port congestion, weather, strikes, government actions or other events outside our reasonable control.
Risk of loss and responsibility for transportation will transfer according to the Incoterm or shipping arrangement stated in the applicable order documentation.
If no Incoterm is specified, the applicable shipping responsibilities will be determined by the written shipping agreement between the parties.
SECTION 13 — CUSTOMS, DUTIES AND IMPORT REQUIREMENTS
Unless otherwise agreed in writing, the buyer is responsible for customs clearance, import duties, tariffs, taxes, permits and regulatory requirements applicable in the destination country.
The buyer is responsible for confirming whether the products may lawfully be imported, marketed or sold in the destination market.
Averixa Supply may provide available product information or documentation upon request but does not guarantee regulatory approval in the buyer’s jurisdiction unless expressly agreed in writing.
SECTION 14 — ORDER CHANGES AND CANCELLATIONS
Buyers should review all product specifications, quantities, packaging information and customization requirements carefully before confirming an order.
Once production, customization, printing or procurement has started, an order may not be cancelable or refundable.
If cancellation is requested before production begins, we will advise whether cancellation is possible and whether any supplier, sample, material, payment processing or administrative costs are non-refundable.
Custom and private-label products may be subject to stricter cancellation conditions.
SECTION 15 — RETURNS, REFUNDS AND CLAIMS
Because Averixa Supply primarily supplies wholesale, custom and business orders, returns and refunds are handled according to the terms stated in the applicable quotation, order confirmation or other written agreement.
Customized, private-label, logo-printed or made-to-order products are generally not returnable solely because the buyer changes their mind.
If products are materially defective, incorrect or materially inconsistent with confirmed specifications, the buyer should contact us promptly and provide reasonable evidence.
Depending on the circumstances, available remedies may include replacement, partial refund, credit or another mutually agreed solution.
Nothing in this section limits any rights that cannot lawfully be excluded under applicable law.
SECTION 16 — INTELLECTUAL PROPERTY
All website content, including text, graphics, photographs, logos, designs, layouts and other materials, is owned by Averixa Supply, its licensors or applicable third parties and is protected by intellectual property laws.
You may use our website for lawful personal or business purposes, including evaluating products, requesting quotations and communicating with us regarding potential purchases.
You may not reproduce, distribute, modify, republish or commercially exploit our website content without authorization.
Averixa Supply does not claim ownership of logos, trademarks, artwork or intellectual property supplied by buyers for authorized customization projects.

We may provide access to third-party tools or services that we do not control.
Such tools are provided on an “as available” basis.
Your use of third-party tools is at your own discretion and may be subject to separate terms established by the applicable third-party provider.

We are not responsible for the accuracy, availability, security or policies of third-party websites.
Any use of third-party websites is at your own risk.
SECTION 19 — RELATIONSHIP WITH SHOPIFY
Averixa Supply is powered by Shopify, which enables us to provide the Services to you.
However, any sales and purchases you make in our Store are made directly with Averixa Supply.
By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Averixa Supply, including any injury, damage, or loss resulting from purchased products and services.
You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Averixa Supply.

We reserve the right to correct such information at any time.
A website error does not obligate Averixa Supply to honor an obviously incorrect price, specification or product description.

logos, designs, packaging, trademarks or other materials provided by you for customization.
SECTION 27 — FORCE MAJEURE
Averixa Supply will not be responsible for delay or failure caused by circumstances beyond our reasonable control, including natural disasters, epidemics, war, government restrictions, strikes, transportation disruptions, customs delays, power failures, supplier interruptions or shortages of raw materials.
Where such events occur, affected timelines may be reasonably extended.
SECTION 28 — TERMINATION
We may suspend or terminate access to our Services where these Terms are materially violated or where required for legal, security or operational reasons.
Termination does not affect rights or obligations arising before termination.
SECTION 29 — SEVERABILITY
If any provision of these Terms is determined to be unlawful, invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect.

These Terms, together with any applicable quotation, pro forma invoice, order confirmation and policies referenced herein, constitute the agreement governing use of our Services.
For a specific commercial order, the terms contained in the applicable written quotation, pro forma invoice or separately signed agreement will prevail over these general Terms to the extent of any conflict.
SECTION 31 — GOVERNING LAW
These Terms and any dispute arising from them will be governed by the laws applicable to the jurisdiction in which Averixa Supply’s principal business entity is established, unless the parties agree otherwise in writing or mandatory law requires otherwise.
Specific commercial orders may contain separate governing-law or dispute-resolution provisions.

We may update these Terms from time to time.

Material changes will become effective as required by applicable law.
